Terms of Sale

These Terms of Sale are governed by French law.
Article 1 — Purpose
These Terms of Sale (hereinafter referred to as the "Terms of Sale") set forth the conditions under which Humble Planning, a sole proprietorship established under French law, markets the Humble Planning service (hereinafter referred to as the "Service") to its professional clients (hereinafter referred to as the "Client").
The Service consists of the provision of a SaaS scheduling and team management platform, accessible via a web browser, under a monthly or annual subscription.
Article 2 — Pricing and Invoicing
2.1 Pricing
The Service is offered under a pricing model comprising:
- A fixed monthly fee varying according to the selected plan (Essential, Starter, Business, Enterprise)
- A per-user rate per active user per month
- Optional add-ons (AI/MCP module, additional training sessions)
Prices are quoted in euros excluding VAT. VAT is not applicable pursuant to Article 293 B of the French General Tax Code (non-liable sole proprietorship).
2.2 Invoicing
Invoices are issued on a monthly or annual basis according to the billing cycle selected by the Client. Invoices are sent electronically to the email address of the account holder.
Article 3 — Payment Terms
Payment shall be made by bank transfer or any other payment method accepted by Humble Planning.
Payment is due on the date of invoice issuance. The Client shall have a payment period of 30 days from the date of invoicing.
In the event of late payment, late payment penalties shall be applied at a rate of three times the prevailing statutory interest rate, in accordance with Article L.441-10 of the French Commercial Code. A fixed indemnity of 40 euros for recovery costs shall also be due (Article D.441-5 of the French Commercial Code).
Article 4 — Duration and Renewal
4.1 Initial Term
The subscription to the Service is taken out for an initial term of one month (monthly subscription) or twelve months (annual subscription), commencing from the date of account activation.
4.2 Renewal
The subscription shall be automatically renewed for a period identical to the initial term, unless terminated by either party with 30 days' notice prior to the end of the current period.
4.3 Trial Period
A free trial period may be offered to the Client. During this period, the Client shall have access to all features of the Service. Upon expiry of the trial period, the Client may choose to subscribe or discontinue use of the Service.
Article 5 — Termination
5.1 Termination by the Client
The Client may terminate their subscription at any time with 30 days' notice. Termination shall take effect at the end of the current billing period. No refund shall be issued for the remaining period.
5.2 Termination by Humble Planning
Humble Planning reserves the right to terminate the subscription in the event of:
- Non-payment following two unsuccessful reminders
- Material breach of the Terms of Use or these Terms of Sale
- Fraudulent or abusive use of the Service
5.3 Effects of Termination
Upon termination of the subscription, the Client shall have 30 days to export their data. After this period, Humble Planning reserves the right to delete all of the Client's data.
Article 6 — Right of Withdrawal
In accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal shall not apply to contracts for the supply of digital content provided on a non-tangible medium where performance has begun with the consumer's prior consent.
Furthermore, for subscriptions taken out by a business professional, the right of withdrawal provided for by the Consumer Code shall not apply. The free trial period shall serve in lieu of the right of withdrawal.
Article 7 — Warranties
7.1 Service Levels
Humble Planning undertakes to provide the Service with a target availability rate of 99.5% per month, excluding scheduled maintenance periods.
7.2 Technical Support
Technical support is included in the subscription according to the selected plan:
- Starter: email support, response within 24 business hours
- Business: priority support, response within 4 business hours
- Enterprise: dedicated support with an assigned contact
7.3 Updates
Updates and improvements to the Service are included in the subscription. Major updates shall be communicated in advance and deployed during periods of low usage insofar as possible.
Article 8 — Limitation of Liability
The liability of Humble Planning shall be limited to direct and foreseeable damages resulting from a proven breach of its obligations.
In any event, the total liability of Humble Planning shall be limited to the amounts actually paid by the Client under the subscription during the 12 months preceding the event giving rise to liability.
Humble Planning shall not be held liable for indirect damages, including but not limited to data loss, loss of revenue, loss of clients, damage to brand image, and costs related to the procurement of a substitute product or service.
Article 9 — Force Majeure
Neither party shall be held liable for failure to perform any of its obligations where such failure results from a force majeure event within the meaning of Article 1218 of the French Civil Code, including but not limited to: natural disasters, power or telecommunications outages, cyberattacks, pandemics, government decisions, or any other unforeseeable, irresistible, and external event.
Article 10 — Data Ownership
The Client shall retain ownership of all data entered into the Service. Humble Planning undertakes not to use the Client's data for any purpose other than the provision of the Service.
Upon expiry of the contract, the Client may export all of their data in available formats (Excel, CSV, PDF, iCal). Humble Planning undertakes to maintain access to the data for 30 days following termination.
Article 11 — Confidentiality
Each party undertakes to treat as confidential all information exchanged in connection with the performance of the contract. This confidentiality obligation shall survive the termination of the contract for a period of 2 years.
Article 12 — Governing Law and Jurisdiction
These Terms of Sale are governed by French law. In the event of any dispute relating to the interpretation or performance of these Terms of Sale, the parties undertake to seek an amicable resolution within 30 days.
Failing amicable resolution, any dispute shall be submitted to the exclusive jurisdiction of the courts of the registered office of Humble Planning.
In accordance with the provisions of the French Consumer Code relating to the amicable settlement of disputes, the Client may have recourse to the mediation service offered by Humble Planning. The mediator shall, in full independence and impartiality, endeavour to bring the parties together with a view to reaching an amicable solution.
Article 13 — General Provisions
13.1 Entire Agreement
These Terms of Sale, together with the Terms of Use and the Privacy Policy, constitute the entire agreement between the parties and supersede all prior agreements.
13.2 Severability
Should any provision of these Terms of Sale be declared null or unenforceable, the remaining provisions shall retain their full force and effect.
13.3 Assignment
The Client shall not assign the contract to any third party without the prior written consent of Humble Planning.
