These Terms of Use are governed by French law.

Article 1 — Purpose

These Terms of Use (hereinafter referred to as the "Terms") set forth the terms and conditions governing the use of the Humble Planning platform (hereinafter referred to as the "Service"), published by Humble Planning, a sole proprietorship established under French law.

The Service is a SaaS scheduling and team management solution accessible via a web browser. It enables task planning, human and material resource management, project tracking, and team communication.

Article 2 — Acceptance of the Terms

Use of the Service implies full and unreserved acceptance of these Terms. The User acknowledges having read and agrees to comply with them.

Humble Planning reserves the right to amend these Terms at any time. Users shall be notified of any amendments by notification within the application or by email. Continued use of the Service following any amendment shall constitute acceptance of the revised Terms.

Article 3 — Registration and User Account

3.1 Account Creation

Access to the Service requires the creation of a user account. The account is created by an administrator of the subscribing organisation. The User shall receive login credentials by email.

3.2 User Obligations

The User undertakes to:

  • Provide accurate and up-to-date information upon registration
  • Maintain the confidentiality of their login credentials
  • Refrain from disclosing their credentials to third parties
  • Notify the administrator immediately in the event of account compromise
  • Enable two-factor authentication (2FA) when required by the organisation

3.3 Suspension and Deletion

Humble Planning or the organisation's administrator reserves the right to suspend or delete any user account in the event of a breach of these Terms, without prior notice or compensation.

Article 4 — Use of the Service

4.1 Authorised Use

The Service is intended for professional use in the context of scheduling and team management. The User undertakes to use the Service in accordance with its intended purpose and in compliance with applicable laws and regulations.

4.2 Prohibited Uses

The following are strictly prohibited:

  • Using the Service for unlawful purposes or purposes contrary to public decency
  • Attempting to gain unauthorised access to the systems or data of other users
  • Introducing viruses, malware, or any malicious code
  • Attempting intrusion, reverse engineering, or decompilation of the Service
  • Deliberately overloading the servers through excessive requests
  • Reselling or sublicensing access to the Service without authorisation

4.3 Availability

Humble Planning shall use reasonable endeavours to ensure maximum availability of the Service. However, the Service may be temporarily interrupted for maintenance, updates, or force majeure. The User shall be notified insofar as possible through the built-in maintenance mode.

Article 5 — Intellectual Property

All elements comprising the Service (software, interface, databases, text, images, logos) are the exclusive property of Humble Planning and are protected by intellectual property laws.

Use of the Service does not confer upon the User any intellectual property rights over the Service or its components. The User is granted solely a personal, non-exclusive right of use, limited to the duration of their subscription.

Data entered by the User into the Service shall remain the exclusive property of the User. Humble Planning claims no rights over content created by Users.

Article 6 — Liability

6.1 Liability of Humble Planning

Humble Planning undertakes to provide the Service with due diligence and in accordance with professional standards. Humble Planning's liability is an obligation of means.

Humble Planning shall not be held liable for:

  • Damages resulting from misuse of the Service by the User
  • Data loss attributable to the User or their infrastructure
  • Indirect damages (loss of revenue, data loss, commercial prejudice)
  • Service interruptions due to force majeure

6.2 User Liability

The User shall be solely responsible for their use of the Service and the data they enter therein. The User undertakes not to contravene applicable laws and regulations and to indemnify Humble Planning against any third-party claims arising from their use of the Service.

Article 7 — Personal Data

The processing of personal data in connection with the use of the Service is governed by our Privacy Policy, which forms an integral part of these Terms.

Article 8 — Amendment of the Terms

Humble Planning reserves the right to amend these Terms at any time. Amendments shall take effect upon publication on the website or notification to Users.

In the event of a substantial amendment, Users shall be notified by email or by notification within the application at least 30 days prior to the effective date of the new terms.

Article 9 — Governing Law and Jurisdiction

These Terms are governed by French law. In the event of any dispute relating to the interpretation or performance of these Terms, the parties undertake to seek an amicable resolution.

Failing amicable agreement, any dispute shall be submitted to the exclusive jurisdiction of the competent French courts.
